By accessing or using the Caether AI platform, API, Agent SDK, Voice API, or any other Caether service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and Caether AI, Inc. ("Caether", "we", "us", "our"), a Delaware corporation. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
Our Privacy Policy, Cookie Policy, and any additional terms or guidelines posted on the Service are incorporated by reference into these Terms.

02 — Eligibility
You may use the Service only if you meet all of the following conditions:
You are at least 13 years of age (or the minimum age of digital consent in your jurisdiction, if higher)
You are not prohibited from receiving the Service under applicable law
You have not been previously banned or suspended from the Service by Caether
If you are between 13 and 17, you have obtained consent from a parent or legal guardian
The Service is not directed at children under the age of 13. If we become aware that a user is under 13 without parental consent, we will terminate their account and delete associated data.
03 — Account registration
To access most features of the Service, you must create an account. When registering, you agree to:
Provide accurate, complete, and current information
Maintain the security of your account credentials
Promptly update your information if it changes
Accept responsibility for all activity that occurs under your account

You may not share your account credentials or allow others to access the Service through your account. Each user must maintain a separate account. Accounts created through automated means are prohibited.
We reserve the right to refuse registration or cancel accounts at our discretion, particularly where we detect fraudulent activity or violation of these Terms.
04 — The Service
Caether provides access to frontier AI models and infrastructure, including Caether-1 (our reasoning model), the Caether API, the Agent SDK, and the Voice API. The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. Where commercially reasonable, we will provide advance notice of material changes. Your continued use of the Service after changes constitutes acceptance.
The Service is provided "as is" and we do not guarantee uninterrupted availability. Scheduled maintenance, emergency outages, and force majeure events are excluded from SLA calculations.

You may use the Service for any lawful purpose, including:
Research & development — Building applications, experimenting with model capabilities, academic research.
Commercial products — Integrating Caether models into your own products and services under an appropriate plan.
Personal productivity — Writing, coding, reasoning, analysis, and creative projects.
Enterprise workflows — Automating business processes, data extraction, and agent-based tasks.
When using the Service, you are responsible for ensuring your use complies with all applicable laws and regulations in your jurisdiction. You must also comply with our Acceptable Use Policy, which may be updated from time to time.

Violation of these prohibitions may result in immediate account suspension or termination, legal action, and reporting to relevant authorities. We actively monitor for abuse.

You retain ownership of any content you submit to the Service ("Input"). You grant Caether a limited licence to process your Input solely to provide the Service to you.
Outputs generated by the Service ("Output") are provided to you subject to these Terms. You may use Output for lawful purposes, including commercial use, subject to the following conditions:
You may not claim that Output was produced by a human when a recipient would object to knowing otherwise
You are responsible for ensuring Output does not violate third-party rights
Caether makes no warranty that Output is accurate, complete, or fit for any particular purpose
Output should not be used as a substitute for professional advice (medical, legal, financial, etc.)
We may use Input and Output, in aggregated and anonymised form, to improve and develop our models and services, unless you have opted out via your account settings (available on Pro and Enterprise plans).
09 — Payment & billing
Paid plans are billed in advance on a monthly or annual basis. All fees are stated in US dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.
10 — Termination
Either party may terminate the agreement at any time. You may terminate by deleting your account. We may terminate or suspend your access immediately, without notice, if we determine that you have violated these Terms or applicable law.
Upon termination: your licence to use the Service ends immediately; you must cease all use of the Service; provisions that by their nature should survive (including Sections 7, 11, 12, 13, and 14) will continue to apply.
We will handle your data following termination in accordance with our Privacy Policy.
11 — Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Caether does not warrant that: (a) the Service will be uninterrupted, error-free, or free of harmful components; (b) any Output will be accurate, complete, reliable, or suitable for your purposes; (c) the Service will meet your specific requirements.
AI-generated outputs may contain inaccuracies, biases, or errors. You should independently verify any Output before relying on it, particularly for medical, legal, financial, or safety-critical decisions.
12 — Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CAETHER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Caether's aggregate liability to you for all claims arising out of or relating to the Service or these Terms is limited to the greater of: (a) the amount you paid Caether in the twelve months preceding the claim; or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so the above limitations may not apply to you.
13 — Indemnification
You agree to defend, indemnify, and hold harmless Caether AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
Your use of the Service or violation of these Terms
Your content, including any claim that your content infringes third-party rights
Your violation of any applicable law or regulation
Any products or services you develop using the Service

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the federal and state courts located in Delaware.
If you are a consumer in a jurisdiction where mandatory consumer protection laws apply, nothing in these Terms limits your rights under those laws.
16 — Changes to terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, where required by law, by sending you an email notification.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
